1. The agreement
These Terms, together with our Privacy Policy, our Refund Policy, any order form you sign, and any additional policies referenced herein, form the binding agreement between you and Anvil (the “Agreement”). If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation, and “you” refers to that organisation.
2. Eligibility & account
- You must be at least 18 years old and legally capable of entering into a contract.
- You must provide accurate, current, and complete information when creating an account, and keep it up to date.
- You are responsible for maintaining the confidentiality of your credentials and for every action taken under your account. Notify us immediately at 738888@proton.me of any unauthorised use.
- We may refuse, suspend, or terminate an account if we reasonably believe it violates these Terms, presents a risk to other users, or is used for illegal purposes.
3. The service
Anvil provides a cloud-based platform for B2B lead generation, outreach automation, customer relationship management, scheduling, billing, and related workflows. We may release new features, deprecate old ones, or make operational changes at our discretion. We will provide reasonable notice for material changes that materially reduce core functionality.
Certain features (AI analysis, voice calling, messaging integrations, custom domains) depend on third-party services. Availability of those features is subject to the third party’s own terms and SLAs.
4. Subscription, fees & payment
- The Service is offered on a subscription basis. Fees, included usage limits, and features for each plan are published at anvilhk.com/pricing.
- Subscriptions renew automatically at the end of each billing cycle unless you cancel at least 1 day before renewal.
- Fees are charged in advance and are quoted in USD unless otherwise stated. Applicable taxes (VAT/GST/sales tax) are added at checkout based on your billing address.
- Payment is processed by Stripe. By providing a payment method you authorise Anvil to charge it for all fees due.
- If payment fails we will retry. After 14 days of unpaid invoices we may suspend the Service; after 60 days we may terminate the account and delete customer data in accordance with our retention schedule.
- Usage-based fees (per-AI-analysis, per-SMS, per-voice-minute) accrue during the period and are billed at the end of the period, or when an agreed threshold is reached.
- For enterprise agreements executed by separate order form, the terms of that order form prevail over this Section to the extent of any conflict.
5. Acceptable use
You agree not to, and not to permit any third party to:
- Use the Service to send unsolicited bulk email (spam), harassment, threats, or communications that violate CAN-SPAM, CASL, GDPR direct marketing rules, China PIPL direct marketing rules, or any other applicable anti-spam or data-protection law.
- Use the Service to collect or process personal data in violation of applicable law, including scraping sites in violation of their terms of service where such terms are legally binding on you.
- Upload, transmit, or generate content that is illegal, defamatory, obscene, infringing, fraudulent, or harmful; or that promotes discrimination, violence, child exploitation, or illegal activity.
- Reverse engineer, decompile, or attempt to derive source code from the Service, except to the extent this restriction is prohibited by law.
- Probe, scan, circumvent, or disable any security or availability feature of the Service; load-test the Service without prior written consent; or interfere with other users’ enjoyment of the Service.
- Resell, sublicense, or offer the Service as a commercial product to third parties, except under a separate reseller or white-label agreement signed with Anvil.
- Use the Service to develop or train a competing AI model using Anvil’s outputs.
- Use the Service in industries Anvil or its payment processor prohibits, including but not limited to weapons, illicit drugs, adult content, gambling without licence, pyramid schemes, and cryptocurrency fraud.
We monitor for abuse and reserve the right to suspend or terminate accounts that violate this section, with or without notice.
6. Customer data & outreach compliance
Ownership. You retain all rights to the content you upload, enter, or generate through the Service (“Customer Data”). You grant Anvil a worldwide, royalty-free, non-exclusive licence to host, process, transmit, display, and create technical copies of Customer Data solely to provide, secure, and improve the Service as permitted by the Agreement and our Privacy Policy.
Outreach responsibilities. You are solely responsible for:
- Having a valid legal basis (consent, legitimate interest, or contract) for every contact you import or collect.
- Complying with all applicable anti-spam laws (CAN-SPAM, CASL, GDPR, ePrivacy, PIPL, PDPO) when sending marketing or sales communications through the Service.
- Honoring unsubscribe and do-not-contact requests promptly. Anvil supplies unsubscribe link functionality; you must not remove or disable it.
- The truthfulness of information you provide, including display name, reply-to address, and physical postal address required under CAN-SPAM.
Anvil acts as a data processor with respect to Customer Data as set out in the Privacy Policy and (for enterprise customers) the Data Processing Addendum available at anvilhk.com/legal/dpa.
7. Intellectual property
The Service, including software, UI, brand, and documentation, is owned by Anvil and its licensors and is protected by copyright, trademark, and other laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service during your subscription, subject to the Agreement.
If you provide feedback, suggestions, or ideas regarding the Service (“Feedback”), you grant Anvil a perpetual, worldwide, royalty-free licence to use them without restriction.
8. Third-party services
The Service integrates with third-party services (Google, Meta/WhatsApp, Stripe, OpenAI, Twilio, ElevenLabs, and others). Your use of those services is subject to the third party’s own terms. Anvil is not responsible for third-party services’ availability, accuracy, or content.
9. Suspension & termination
You may terminate your subscription at any time from the billing page; paid fees are non-refundable except as stated in the Refund Policy.
We may suspend or terminate your account with reasonable notice for material breach, or immediately for non-payment, security, legal, or abuse reasons. Upon termination your right to use the Service ceases and Customer Data is deleted in accordance with the retention schedule in our Privacy Policy.
You can request an export of your Customer Data within 30 days after termination by emailing 738888@proton.me.
10. Warranties & disclaimers
The following disclaimer is a material part of the Agreement.
The Service is provided on an “AS IS” and “AS AVAILABLE” basis. To the fullest extent permitted by law, Anvil disclaims all warranties, express or implied, including any warranty of merchantability, fitness for a particular purpose, accuracy, non-infringement, and quiet enjoyment. Anvil does not warrant that the Service will be uninterrupted, error-free, or free of harmful components, or that any particular business outcome will be achieved from using it.
11. Limitation of liability
This section limits the amount you can recover from Anvil. Please read it carefully.
To the fullest extent permitted by law, Anvil and its officers, directors, employees, and agents will not be liable for:
- Any indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of profits, revenue, data, or goodwill, even if we have been advised of the possibility of such damages.
- Any damage arising from third-party services, content you or a prospect uploaded, or the unavailability or corruption of Customer Data.
Anvil’s total cumulative liability to you for all claims relating to the Service is capped at the amount you paid to Anvil in the 12 months preceding the claim, or US$100, whichever is greater.
12. Indemnification
You will defend, indemnify, and hold harmless Anvil from and against any third-party claims, damages, fines, and expenses (including reasonable legal fees) arising from:
- Your Customer Data or outreach campaigns.
- Your violation of these Terms or applicable law.
- Your infringement of any third-party right (including privacy and IP).
Anvil will defend you against third-party claims that the unmodified Service infringes a third party’s intellectual-property right, and will pay damages finally awarded by a court or agreed in settlement, subject to reasonable notice and cooperation from you.
13. Governing law & dispute resolution
These Terms are governed by the laws of the Hong Kong Special Administrative Region, without regard to conflict-of-law principles. The parties submit to the exclusive jurisdiction of the Hong Kong courts, except that either party may seek urgent injunctive relief in any court of competent jurisdiction.
If you are a consumer in the EEA, UK, or another jurisdiction whose law grants you non-waivable rights, nothing in this Section deprives you of those rights or of the ability to bring proceedings in your place of residence.
14. General
- Entire agreement. The Agreement is the entire understanding between the parties and supersedes prior agreements on the subject.
- Amendments. We may update these Terms. Material changes will be notified by email at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance.
- Severability. If any provision is found unenforceable, the remainder remains in effect.
- Assignment. You may not assign the Agreement without our prior written consent. We may assign to an affiliate or in connection with a merger or sale of assets.
- No waiver. Failure to enforce a provision is not a waiver of future enforcement.
- Force majeure. Neither party is liable for delays caused by events beyond its reasonable control.
